These Terms of Service (“Terms”) apply to your access to and use of the websites, platforms, and services (collectively, the “Services”) provided by Erud AI, LLC (“Erud AI,” “we,” or “us”). By accessing or using our Services, you agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 15. If you do not agree to these Terms, do not use the Services.

We may modify these Terms from time to time. If changes are made, we will provide notice, such as updating the “Last Updated” date, sending an email, or providing a notification through our Services. Unless stated otherwise, the changes will be effective immediately, and your continued use of the Services after such notice confirms your acceptance of the updated Terms. If you do not agree to the amended Terms, you must stop using the Services.

Privacy Policy

To use our Services, you must be at least 18 years old or the legal age of majority in your jurisdiction. If you use the Services on behalf of an organization, (a) all references to "you" include that entity, and (b) you represent that you are authorized to bind that entity to these Terms.

Eligibility

Erud AI provides human-in-the-loop AI data solutions, including workforce management, data annotation, data evaluation, and data generation services. These services are designed to align with client objectives and quality standards.

We do not provide software platforms but may operate within client-provided systems or through secure third-party platforms. The scope of work will be detailed in specific agreements or statements of work (SOW) between you and Erud AI.

Scope of Services

From time to time, Erud AI may provide sample data to assist clients in evaluating our Services. All rights to such sample data are retained by Erud AI unless agreed to in writing between client and Erud AI. Your use of the data is subject to the following conditions:

  • Internal Use Only: Sample data may only be used internally to evaluate Erud AI’s capabilities or make business decisions related to engaging with our Services.
  • Confidentiality: Sample data must remain strictly confidential and may not be disclosed to any third party without prior written consent from Erud AI.
  • Prohibition on Redistribution: Sample data may not be sold, shared, purported as client's own, or used to train AI models or systems.
  • No Derivative Works: You may not create derivative works or use the sample data for any purpose other than those explicitly permitted in writing by Erud AI.

Any unauthorized use of sample data will constitute a violation of these Terms and may result in legal action.

Sample Data

  • Client Data Ownership: You retain ownership of all data and intellectual property provided to or processed by Erud AI under these Terms.
  • Erud AI Rights: We do not reuse or sell your data to third parties. Anonymized or aggregate data may be used internally for quality assurance and service improvements only if explicitly agreed upon in writing.
  • Data Retention: Upon project completion, we will securely delete or return your data as specified in the agreement.

Data Ownership and Use

Erud AI follows strict confidentiality protocols to protect your data and proprietary information. Different levels of confidentiality are available based on your requirements, including working entirely within your internal systems to ensure data does not leave your infrastructure.

Confidentiality

Payment terms will be defined in individual contracts or SOWs. Late payments may incur fees as outlined in the agreement. Services may be suspended for accounts overdue by more than 30 days.

Payment

Erud AI ensures all personnel are thoroughly vetted, trained, and evaluated to meet your project’s requirements. Quality control measures, such as regular testing and audits, are integral to our processes.

Workforce Standards

To the fullest extent permitted by law, Erud AI is not liable for:

  • Indirect, incidental, or consequential damages, including loss of profits or data.
  • Issues caused by third-party platforms used during service delivery.
  • Breaches resulting from client-provided systems or platforms.

Our total liability for any claim is limited to a maximum of the total amount paid by you to Erud AI, LLC for the Services in the 12 months preceding the claim.

Limitations of Liability

We comply with applicable laws and regulations, including data protection standards such as GDPR and CCPA. Clients must ensure their use of our Services is lawful in their jurisdiction.

Compliance With Laws

Either party may terminate the agreement with written notice. Upon termination, Erud AI will cease work, and all data will be returned or securely deleted.


Termination

You agree to indemnify and hold harmless Erud AI from any claims, damages, or losses resulting from:

  • Your misuse of the Services.
  • Your violation of these Terms.
  • Third-party claims regarding data you provide.

Indemnification

All disputes will be resolved through binding arbitration in Travis County, Austin, Texas, under the rules of the American Arbitration Association (AAA). Class actions are prohibited.


Dispute Resolution

  • Entire Agreement: These Terms, along with any executed SOWs or agreements, constitute the full understanding between you and Erud AI.
  • Force Majeure: Erud AI is not responsible for delays or failures caused by events beyond our reasonable control, including cyberattacks or natural disasters.
  • Governing Law: These Terms are governed by the laws of Texas, without regard to conflict-of-law principles.
